Subscription Terms

These Subscription Terms (“Subscription Terms”) govern the purchase, renewal, cancellation, limits, and use of paid subscriptions and Extra Usage packages made available through Readberry (the “Service”).

These Subscription Terms form part of the Terms of Use. In the event of any conflict between these Subscription Terms and the Terms of Use with respect to subscriptions, billing, renewals, cancellation, usage limits, or Extra Usage packages, these Subscription Terms shall prevail.

Subscription Model

Access to certain features of the Service is provided on a paid recurring subscription basis, except that unused and valid Extra Usage resources may remain available after the expiration, cancellation, or non-renewal of a paid subscription as expressly provided in these Subscription Terms.

No free trial is provided unless expressly stated at the time of purchase.

By purchasing a subscription, the Customer authorizes the Company and its payment processors to charge the applicable subscription fees, taxes, and any other disclosed amounts to the payment method provided by the Customer on a recurring basis at the billing intervals selected by the Customer, until the subscription is cancelled in accordance with these Subscription Terms.

Subscription Plans

The Service may offer the following subscription periods and included usage limits:

The limits set out above are the standard subscription limits currently offered by the Company for new subscription purchases (“Current Limits”).

The Current Limits apply to any subscription that is first purchased, repurchased or reactivated after expiration, cancellation, or non-renewal, or changed to a different subscription plan, subscription period, or subscription product, provided that such limits are presented in the applicable purchase flow.

The specific subscription plan, billing period, price, currency, and included usage limits applicable to a Customer are those clearly presented to the Customer immediately before the Customer completes the purchase and reflected in the applicable purchase confirmation, account entitlement record, product identifier, or other transaction record maintained by the Company.

All subscription fees are charged in advance for the applicable billing period.

If a Customer has an active paid subscription at the time the Company introduces revised subscription limits, the Text-to-Speech and Content Processing limits that were presented to the Customer when that same subscription was purchased and that applied under the subscription terms then in effect will continue to apply to that subscription (“Legacy Limits”).

Legacy Limits will continue to apply unless and until they are validly changed for a future renewal period in accordance with the notice, consent, and other requirements set out below and under applicable law.

The publication or acceptance of an updated version of these Subscription Terms or Terms of Use, by itself, will not replace or reduce the Legacy Limits applicable to an uninterrupted existing subscription.

Legacy Limits will cease to apply if:

A temporary payment retry, billing grace period, or payment-processing delay will not by itself terminate the Customer’s Legacy Limits if the same subscription is restored without the Customer completing a new subscription purchase.

Following the cessation of Legacy Limits, the limits presented to the Customer at the time of the applicable new purchase, reactivation, or subscription change will apply.

The Company may change subscription plans, billing periods, features, included usage limits, package configurations, or availability for future subscription purchases, reactivations, or subscription changes, subject to applicable law. Any such change may be applied to all Customers or only to particular subscription plans, subscription products, platforms, territories, purchase channels, acquisition channels, promotional campaigns, technical environments, purchase flows, or other customer groups selected by the Company based on legitimate commercial, operational, technical, or promotional considerations. A change applicable only to future purchases, reactivations, or subscription changes does not affect the contractual limits applicable to an uninterrupted existing subscription unless the Company expressly states otherwise and complies with the notice and other requirements set out in these Terms and applicable law.

The Company may, at its sole commercial discretion, increase usage limits, provide complimentary or promotional usage, or otherwise make more favorable subscription terms available without prior notice. Such increased limits, benefits, promotions, or more favorable terms may be made available: to all Customers; only to new Customers, only to existing Customers, or to both; only to Customers using a particular subscription plan, subscription product, platform, purchase channel, territory, or promotional offer; or only to another customer group determined by the Company based on legitimate commercial, technical, operational, or promotional considerations. The Company is not required to make any increased limit, promotional benefit, price, package, or other more favorable offer available to every Customer. The availability of more favorable terms to one Customer or group of Customers does not entitle any other Customer to receive the same terms or to receive a retroactive increase, additional usage, price adjustment, account credit, refund, extension, or other compensation, except where required by applicable law. Unless the Company expressly confirms that an increase forms a permanent part of a Customer’s purchased subscription entitlement, any complimentary, promotional, trial, or discretionary increase does not create a permanent contractual entitlement and may be modified or withdrawn without notice. Any such modification or withdrawal will not reduce the contractual usage limits included in a subscription period already paid for by the Customer.

The Company will not reduce the contractual usage limits applicable to a subscription period that has already been paid for by the Customer. If the Company proposes to reduce the contractual usage limits applicable to an existing subscription beginning with a future renewal period, the Company will provide the affected Customer with clear advance notice through at least one reasonably available communication method. Such communication methods may include email, an in-Service or account notification, a push notification, publication of an updated version of these Terms accompanied by a notice within the Service, or another method permitted by applicable law. The notice will describe the revised limits, indicate when they will begin to apply to the affected subscription, and provide information on how the Customer may cancel the subscription before the revised limits take effect. A reduction applicable to an existing subscription will take effect no earlier than the beginning of a subsequent renewal period. Where required by applicable law, the Company will obtain the Customer’s consent or provide any applicable cancellation, termination, refund, or price-adjustment rights.

Automatic Renewal

Unless cancelled before the applicable renewal date, each subscription renews automatically for successive periods equal to the initial subscription period selected by the Customer.

By completing the purchase, the Customer expressly acknowledges and agrees that the subscription includes automatic renewal and recurring charges until cancelled.

The automatic renewal terms, including the renewal period, price, billing frequency, cancellation method, and any material restrictions, will be disclosed clearly and conspicuously to the Customer at or before the time of purchase, to the extent required by applicable law.

Where required by applicable law, the Company will provide advance notice of an upcoming renewal.

Cancellation

The Customer may cancel a subscription at any time before the next renewal date. If the Customer subscribed online, the Company will make available an online cancellation method. Where required by applicable law, cancellation will be offered through the same medium or through a mechanism that is no more burdensome than the method used to subscribe.

Cancellation stops future renewals. Unless otherwise required by applicable law or expressly stated by the Company at the time of cancellation, cancellation becomes effective at the end of the then-current billing period, and the Customer retains access to the paid subscription features until that billing period expires.

Cancellation of a paid subscription does not by itself affect the Customer’s access to unused and valid Extra Usage resources, which remain available in accordance with the “Extra Usage Packages” section of these Subscription Terms.

Deleting an account does not by itself cancel an active paid subscription. The Customer must complete the subscription cancellation process through the applicable account settings, payment flow, or payment provider mechanism.

To avoid being charged for the next billing period, the Customer must cancel the subscription before the applicable renewal date and before the renewal charge is processed.

Failed Payments

If a subscription charge is declined, reversed, fails, or cannot be completed for any reason, the Company or its payment processor may retry the charge using the payment method on file, to the extent permitted by applicable law. The Company may suspend or limit access to paid subscription features until all outstanding amounts are successfully collected.

Usage Limits

Usage limits apply per billing period. Included usage limits reset at the beginning of each new billing period. Unused usage from the main subscription expires at the end of the applicable billing period and does not roll over to subsequent billing periods.

Unless otherwise stated by the Company, subscription limits are personal to the Customer and may not be transferred, shared, pooled, exchanged, or redeemed for cash or credit.

Measurement of Usage

Usage is measured by the Company’s systems based on actual consumption of Service resources.

For purposes of subscription limits:

The Company may use technical logs, system records, and consumption tracking tools to calculate and verify usage.

Extra Usage Packages

While the Customer has an active paid subscription, the Customer may be offered the option to purchase one or more additional usage packages (“Extra Usage”), subject to availability, regardless of whether the main subscription limits for the current billing period have been exhausted. The requirement to have an active paid subscription applies at the time of purchase of Extra Usage.

There is no fixed limit on the number or frequency of Extra Usage purchases during a billing period, provided that the Customer has an active paid subscription at the time of each purchase.

Each Extra Usage package includes the following volume, unless otherwise presented to the Customer at the time of purchase:

The Extra Usage volumes set out above describe the standard Extra Usage packages currently offered by the Company. The Company may offer other Extra Usage volumes, combinations, prices, or configurations from time to time.

For each individual Extra Usage purchase, the exact amount of additional Text-to-Speech minutes and additional Content Processing pages applicable to that purchase is the amount clearly presented to the Customer immediately before the Customer confirms and completes the purchase.

The purchase-specific Extra Usage volume, price, validity period, and other material conditions presented to the Customer at the time of purchase and reflected in the applicable purchase confirmation, account entitlement record, product identifier, or transaction record will govern that particular purchase.

If a general Extra Usage table, description, advertisement, or subsequently updated version of these Terms differs from the purchase-specific information presented to the Customer immediately before the purchase was completed, the purchase-specific information will control with respect to that purchase.

Changes made after an Extra Usage purchase will not reduce the amount of unused Extra Usage validly purchased by the Customer or otherwise change the purchase-specific conditions applicable to that purchase. The foregoing does not prevent the Company from removing, reducing, disabling, or adjusting Extra Usage associated with a transaction that has been refunded, reversed, revoked, invalidated, subject to a successful chargeback, or otherwise made unavailable, or where an adjustment is required by applicable law.

The Company may introduce, increase, replace, discontinue, or selectively offer Extra Usage packages for future purchases without prior notice. Different Extra Usage packages may be offered to different subscription plans, territories, purchase channels, promotional campaigns, technical environments, or customer groups. The availability of a more favorable Extra Usage package to another Customer does not entitle a Customer who previously purchased or was offered a different package to receive matching limits, additional usage, a retroactive adjustment, account credit, price adjustment, refund, or other compensation, except where required by applicable law.

Each Extra Usage package is valid for twelve (12) months from the date of purchase, unless a shorter or longer period is required by applicable law or expressly stated at the time of purchase.

While the Customer has active main subscription limits available for the relevant billing period, such main subscription limits are consumed first. Extra Usage resources are consumed only after the main subscription limits for the relevant billing period are fully exhausted or, where no active main subscription limits are available, from the Customer’s valid unused Extra Usage balance.

Where the Customer has multiple unused Extra Usage packages, Extra Usage resources will be consumed first from the Extra Usage package with the earliest expiration date, unless otherwise expressly stated at the time of purchase.

Access to unused and valid Extra Usage resources remains available even if the Customer no longer has an active paid subscription, provided that the Customer’s account remains active and accessible. Expiration, cancellation, or non-renewal of a paid subscription does not by itself suspend access to unused and valid Extra Usage resources.

Extra Usage does not renew automatically unless expressly stated at the time of purchase.

Extra Usage is personal to the Customer, non-transferable, non-exchangeable, not redeemable for cash, and has no stored-value or monetary balance outside the Service.

Consumption Records

For billing accuracy, fraud prevention, customer support, and dispute resolution, the Company may maintain records of subscription status, transactions, processed pages, text-to-speech usage, timestamps, technical events, and related consumption data.

The Company’s recorded consumption data shall be used to determine whether, when, and to what extent subscription resources or Extra Usage resources were consumed, except in the case of manifest error.

Refunds

Refund eligibility, conditions, exclusions, and procedures are governed exclusively by the Refund Policy.

Cancellation of a subscription does not by itself entitle the Customer to a refund for the current billing period, except where required by applicable law or expressly stated in the Refund Policy.

Chargebacks and Payment Disputes

The Customer shall not initiate chargebacks or payment disputes in bad faith or for the purpose of avoiding payment for subscription periods or resources that have been provided or consumed.

If the Customer initiates a chargeback or payment dispute, the Company may suspend access to the Service while the matter is under review, subject to applicable law and the Refund Policy.

Taxes

Prices may exclude taxes unless expressly stated otherwise.

The Customer is responsible for any applicable sales tax, value added tax, goods and services tax, or similar indirect taxes associated with the subscription, except to the extent such taxes are required to be collected and remitted by the Company.

Payment Processors

Payments may be processed by Stripe or other third-party payment processors designated by the Company.

The Company does not store full payment card details. Payment processing is subject to the terms, conditions, and privacy practices of the applicable payment processor.

Changes to Subscription Terms

The Company may modify these Subscription Terms from time to time. Updated Subscription Terms will be made available through the Service, website, or another appropriate method.

Changes that apply only to future subscription purchases, reactivations, subscription changes, or future Extra Usage purchases may take effect when the revised offer or updated terms are made available to the relevant Customer.

Changes affecting the contractual price, usage limits, or other material paid entitlements of an existing subscription are additionally governed by Section 2 of these Subscription Terms.

Changes affecting Extra Usage already purchased by a Customer are governed by Section 8.

The publication or acceptance of updated Subscription Terms, or the Customer’s continued use of the Service, will not by itself retroactively reduce subscription resources or Extra Usage already purchased and paid for by the Customer.

Where applicable law requires a particular form of notice, consent, termination right, or other procedure, the Company will comply with that requirement.

Mandatory Consumer Rights

Nothing in these Subscription Terms limits or excludes any non-waivable rights or remedies that the Customer may have under applicable consumer protection laws.
